Holland & Knight announced on May 18 that it represented EA Advisors in the majority recapitalization of Safe Air Technology, a company specializing in mission-critical HVAC systems for global data center and industrial sectors. The transaction, which was announced on May 12, involved partnerships with Milton Street Capital and Stephens Capital Partners LLC, as well as David Ratcliff, the founder and CEO of Safe Air.

The recapitalization is significant because it positions Safe Air to expand its business to meet growing demands for next-generation data center infrastructure. This development highlights ongoing investment interest in digital infrastructure and related manufacturing sectors.

EA Advisors is based in Ocean Springs, Mississippi. It is a private investment firm focused on lower middle-market companies within industrial services, manufacturing, and technology. Its team includes experienced operators and investors who have access to a broad network of resources.

The legal team from Holland & Knight was led by Partners Mike Miller and Kevin Christmas from the Independent Sponsors Team. They were supported by Associates Richard Jaramillo and Paige Meno (M&A), Partner Brandon Bloom, and Associate Jackson Oliver (Tax). This marks the third digital infrastructure-related recapitalization involving EAA that Holland & Knight has assisted with.
